For more than 10 years ALEXANDROV&PARTNERS have been providing services to one of the most well-known agriholdings in Ukraine that operates more than 60,000 hectares of land in our country.  Since the agricultural market is rather dynamic and many players are currently placing their stakes on expansion, our client has also decided to significantly increase the land bank and restructure its assets.

In the course of the project ALEXANDROV&PARTNERS experts conducted due diligence of 8 enterprises – prospective targets for acquisition by the client.  In particular, we:

• analysed the legitimacy of establishment of enterprises and transitions of titles to them;
• carried out comprehensive verification of rights to all assets and land plots;
• evaluated risks associated with signed agreements and assumed obligations – land lease agreements first and foremost;
• analysed all pending court cases and encumbrances (mortgages, pledges or attachments of companies’ assets, etc.).

Also, a separate block of ALEXANDROV&PARTNERS lawyers’ work was devoted to analysis of deals on acquisition of corporate rights of legal entities in terms of any antimonopoly risks.
